Terms of service

These terms govern the use of Vexiia, a product of Vecinos Vendemas Publicidad, whose registered office is at Vista de Momotombo B-25 L-8, Managua, Nicaragua. By subscribing to or using the service, the business accepts what follows.
1. What the service is
Vexiia connects a business's WhatsApp Business number to Meta's WhatsApp Business Platform (Cloud API) and puts an artificial intelligence agent in charge of conversations: replying, booking, rescheduling and cancelling appointments, and sending reminders using Meta-approved templates. Staff at the business can take over a conversation at any moment.
2. What you need to use it
- A Meta account and a business portfolio.
- An up-to-date WhatsApp Business app, if coexistence is going to be used.
- A valid payment method on the business's WhatsApp Business account, for the charges Meta applies to messages.
- A phone number that meets Meta's conditions for the platform.
3. Acceptable use
The business undertakes to:
- Comply with WhatsApp Business and Meta policies, including commerce and messaging policies.
- Message only contacts who have given their consent or who started the conversation.
- Not send spam or illegal, misleading or offensive content.
- Not use the service for purposes other than running its own business.
Vexiia may suspend accounts that break these rules, to protect the service and the other businesses using it.
4. Limits of the AI agent
The artificial intelligence agent can make mistakes. The business supervises conversations and is responsible for the information given to its contacts.
The agent does not give medical advice or diagnoses. It handles administrative information: opening hours, appointments, reminders and contact details. Any clinical decision rests with the business's professional staff.
5. Meta charges
Meta charges for certain messages according to its current rates, which Meta sets and may change without any involvement from us.
Those charges are always separate from the Vexiia plan and are paid directly to Meta, through the business's WhatsApp Business account. We do not collect them, we do not act as intermediary, and they are not included in any plan. The business is responsible for keeping a valid payment method on that account: if Meta suspends sending for non-payment, Vexiia cannot deliver the messages.
6. Plans, payment and cancellation
Vexiia is sold as a monthly subscription, paid in advance. The plan, its price and the limits it includes — number of WhatsApp lines, practitioners and conversations handled by the agent per month — are agreed in writing with the business before it starts.
Renewal. The subscription renews automatically each month until the business cancels it.
Cancellation. The business may cancel at any time by writing to soporte@vexiia.com. The service stays active until the end of the period already paid for and does not renew. We do not issue pro-rata refunds for a month already started, unless the interruption is our responsibility.
Non-payment. If an instalment goes unpaid, we notify the business and allow a period to settle it before suspending the service.
Price changes. We may change prices with at least 30 days notice. The new price applies from the following renewal; if the business does not agree, it may cancel before that date.
Exceeding plan limits. If the business consistently exceeds the included conversations, we notify them and agree on moving to a larger plan. We do not cut off the service without warning.
7. Service availability
We work to keep the service continuously available, but there may be interruptions due to maintenance, third-party failures — including Meta's own platform — or causes beyond our control. We do not guarantee a specific uptime percentage.
8. Data handling
How we handle data is set out in the privacy policy, which forms part of these terms. For data deletion, the procedure is on the data deletion page.
Businesses handling health data must additionally sign the Data Processing Agreement, which governs the relationship between the business, as controller, and Vecinos Vendemas Publicidad, as processor.
9. Limitation of liability
To the extent permitted by law, Vecinos Vendemas Publicidad is not liable for indirect damages, loss of profit or loss of data arising from use of the service. Nor is it liable for decisions the business takes on the basis of information handled by the agent, or for interruptions to third-party services.
10. Intellectual property
The Vexiia brand, the software and the documentation belong to Vecinos Vendemas Publicidad. The business retains ownership of its own content and of its contacts' data.
11. Suspension and termination
The business may cancel at any time. We may suspend or terminate the service if these terms are breached, if Meta withdraws platform access, or in case of non-payment. After cancellation, data is deleted within the periods set out in the privacy policy.
12. Governing law
These terms are governed by the laws of the Republic of Nicaragua. For any dispute arising from these terms, the parties expressly submit to the competent courts of the city of Managua, Republic of Nicaragua, waiving any other jurisdiction that might otherwise apply.
13. Changes to these terms
We may update these terms. The "last updated" date appears above, and we notify businesses when the change is significant.
